Welcome to CarveDEPOT (“Platform”), a digital marketplace for CNC files, operated by LHR Technologies, Inc. (“Company”, “we”, “us”, or “our”). By accessing or using our website, services, or purchasing/download any digital content from CarveDEPOT, you agree to be bound by the following Terms and Conditions (“Terms”). Please read them carefully.

1. Eligibility

To use CarveDEPOT, you must be at least 18 years old or the age of majority in your jurisdiction. By using the Platform, you represent that you meet this requirement and are capable of entering into a legally binding agreement.

2. Account Registration

To access certain features, including purchasing or uploading files, you must create an account. You agree to:

• Provide accurate and complete information.
• Keep your login credentials confidential.
• Be responsible for all activity that occurs under your account.

We reserve the right to suspend or terminate accounts for any violations of these Terms.

3. Marketplace Content

All CNC files listed on CarveDEPOT are digital content uploaded by independent creators (“Vendors”). CarveDEPOT acts as a marketplace and is not the creator, manufacturer, or owner of most files sold.

Buyers:

• You are purchasing a limited license to use the file for personal or commercial CNC machining, subject to the license terms outlined by the Seller.
• You may not resell, redistribute, or sublicense the digital file in whole or in part, unless explicitly authorized.

Sellers:

• You retain ownership of your original content but grant CarveDEPOT a non-exclusive license to host, display, market, and sell your files.
• You are responsible for ensuring you own the rights to any content you upload and that it does not infringe on any third-party rights.

4. Payments and Fees

• CarveDEPOT uses third-party payment processors. By purchasing or selling, you agree to their terms and policies.
• Sellers receive revenue shares based on their pricing and CarveDEPOT’s fee structure.
• All prices are listed in USD unless stated otherwise.
• All sales are final unless otherwise stated. Due to the nature of digital products, no refunds will be issued after download.

5. Intellectual Property

All trademarks, logos, and site content (excluding user-uploaded files) are the intellectual property of LHR Technologies, Inc. and may not be copied, used, or distributed without prior written consent.

6. Prohibited Uses

You agree not to:

• Upload or sell infringing, stolen, or illegal content.
• Violate export control laws or use the platform for unlawful purposes.
• Reverse engineer, hack, or disrupt the platform’s functionality.
• Misrepresent yourself or your content.

7. Disclaimer of Warranties

The Platform and all content are provided “as is” and “as available.” We do not guarantee that files will be error-free, suitable for a specific purpose, or that the Platform will always be secure or uninterrupted. Use files at your own risk, especially when operating CNC equipment.

8. Limitation of Liability

To the fullest extent permitted by law, LHR Technologies, Inc. and CarveDEPOT shall not be liable for any direct, indirect, incidental, special, or consequential damages, including but not limited to loss of data, revenue, or personal injury resulting from file usage.

9. Termination

We reserve the right to suspend or terminate your account and remove content at our discretion, especially in cases of abuse, fraud, or violation of these Terms.

10. Modifications to Terms

We may update these Terms at any time. Continued use of CarveDEPOT after changes are posted constitutes your acceptance of the revised Terms. You are encouraged to review them regularly.

11. Governing Law

These Terms are governed by the laws of the State of Texas, United States, without regard to its conflict of law provisions. Any legal action must be brought in the courts located in Harris County, TX.
